Terms and Conditions

Last updated: 2024

These Terms and Conditions ("Terms") govern the use of the website operated by Japade and the provision of its tender support services. By accessing this website or engaging Japade's services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use this website or our services.

1. Who We Are

This website is operated by Japade ("Japade", "we", "us" or "our"), based at:

145 Stokes Croft
Bristol, BS6 2FP
United Kingdom

You can contact us using the following details:

Japade provides tender support services to businesses seeking assistance with the preparation, review and submission of tender documentation. These Terms apply to all clients and website visitors, whether based in the United Kingdom or elsewhere.

2. How an Order Is Placed and Confirmed

Enquiries for our tender support services may be submitted via email, telephone, or through any enquiry form made available on this website. A request for services does not constitute a binding agreement until Japade has issued a written confirmation, which may take the form of a proposal, engagement letter, or order confirmation email setting out the scope of work, timeline, and fees.

A contract between you and Japade is formed only once such written confirmation has been sent by us and, where required, accepted by you. We reserve the right to decline any enquiry or request for services at our discretion, for example where we do not have the capacity or relevant expertise to assist within the requested timeframe.

It is your responsibility to ensure that all information and documentation provided to us in connection with a tender is accurate, complete, and submitted in good time to allow us to carry out the agreed work.

3. Prices, Payment and What Is Included

Fees for our services are quoted on a case-by-case basis, depending on the scope, complexity, and timescale of the tender support required. All fees will be confirmed in writing before work commences, either as a fixed fee, an hourly rate, or another agreed structure.

Unless otherwise stated, quoted prices are exclusive of value added tax (VAT), which will be added at the applicable UK rate where relevant. Payment terms will be specified in the order confirmation or engagement letter and may require payment in advance, in instalments, or upon completion of agreed milestones.

The scope of services included in each engagement will be set out clearly in the confirmation document. Any work requested outside of this agreed scope may be subject to additional fees, to be agreed with you in advance.

Late payments may incur interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, where applicable to business-to-business engagements.

4. Cancellation and Complaints

You may cancel a confirmed order for services by notifying us in writing at [email protected]. Where work has already commenced, you will remain liable for fees relating to work carried out up to the point of cancellation, calculated on a pro-rata or hourly basis as appropriate to the agreed fee structure.

Where you are a consumer (rather than a business) contracting with us at a distance, you may be entitled to a 14-day cancellation period under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, unless you have requested that work begin immediately, in which case this right may be affected once performance has started.

If you are dissatisfied with any aspect of our services, please contact us at [email protected] or by phone at +44 117 374 3886. We will acknowledge complaints promptly and aim to investigate and respond within a reasonable timeframe, working with you to reach a fair resolution.

5. Limitation of Liability

Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability which cannot be excluded or limited under English law.

Subject to the above, Japade's total liability arising out of or in connection with the provision of tender support services, whether in contract, tort (including negligence) or otherwise, shall not exceed the total fees paid by you for the specific engagement giving rise to the claim.

We provide advisory and support services in relation to tender submissions but do not guarantee the outcome of any tender process, as this depends on factors outside our control, including the decisions of third-party procuring organisations. We shall not be liable for any indirect, consequential, or economic loss, including loss of contracts, revenue, or business opportunity.

6. Cookies and Privacy

This website uses a single cookie, named privacy_choice, which stores your cookie consent preference for a period of one year. No analytics, tracking, or session cookies are used on this website. Advertising measurement, where applicable, only operates after you have given consent and is limited to the confirmation page following a completed enquiry or transaction.

For further information about how your personal data is processed, please refer to our Privacy Policy. If you have concerns regarding the handling of your personal data, you have the right to lodge a complaint with the Information Commissioner's Office (ICO), the UK's independent supervisory authority for data protection matters.

7. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

8. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, business practices, or legal requirements. The updated version will be posted on this website with a revised "Last updated" date. Continued use of our services following any changes constitutes acceptance of the revised Terms.
